Junior Legal Counsel
Job Overview
To provide legal, corporate secretarial and compliance support in various jurisdictions across the Asean/South Asia/Oceania region and independently handle and take lead on legal cases/issues as well as manage governance matters.
Job DescriptionResponsibilities
Legal Support
Conduct and/or coordinate legal research, draft memos, provide legal risk assessment and legal developments such as new and/or amended laws and regulations introduced by local authorities Assist with drafting, reviewing and advising on documents such as commercial contracts, Letter of intent (LOI), memorandum of understanding (MOU) and non-disclosure agreements (NDAs), legal opinions, resolutions and other legal or compliance documents
Perform other related duties as assigned and/or where required Secretarial and Administrative Support
Provide Corporate Secretarial support such as preparation of minutes of shareholders/board meetings and resolutions for specific transactions Maintain and manage an internal online database of contracts and accurate recordkeeping of all documentation and relevant communications
Compliance Program Provide support with compliance activities, compliance trainings and other ad hoc projects
Provide support with compliance related issues such as Aduit findings, Whistle Blowing System
Maintain regulatory and compliance documents which include policies and procedures to ensure they are up-to-date and comply with applicable laws and regulations
Other Duties
Work closely with colleagues within the company and subsidiaries in the region to understand key requirements of the business and operational processes
Job Requirement
Education Law degree or its equivalent
Attorney qualification in any jurisdiction Experience
At least 2 years of legal experience in law firm or business environment
Skills & Knowledge Knowledge of business related laws
Good command of spoken and written English
Good Legal and contract analytical skills
Excellent communication and interpersonal skill
Good organizational skills and ability to manage multiple concurrent tasks or projects
Proficient in MS Office – Word, Excel, PowerPoint
Able to work independently and in a team
Able to communicate with people from all levels of background in a corporate setting
Meticulous and with a good eye for details
Must be willing to travel for business trips
