Job Responsibilities:
Corporate Management and Governance- Support the team responsible for establishing and updating management guidelines for group companies, ensuring alignment with changes in laws and headquarters regulations.
- Assist with regular audits of group company operations and management systems to ensure compliance with established group management guidelines.
- Provide support for the group approval process, ensuring compliance by group companies on key business matters such as changes in directors, investments, and dividend arrangements.
- Coordinate with group companies to ensure their corporate profiles are kept up-to-date.
- Support the creation of procedures to monitor and report on the business operations (e.g., organization charts, headcount reports) and financial performance of group companies, ensuring alignment with the approved Business Plan.
- Assist in the establishment and clarification of reporting procedures, following up with group companies if any discrepancies are detected between financial and non-financial performance and the Business Plan.
- Maintain and update filing systems and repositories for records and documentation.
- Assist in preparing, verifying, and allocating budgets and forecasts for each department/division under the supervision of senior staff.
- Support financial performance monitoring, including tracking budget versus actual figures, managing project cost controls, and analyzing balance sheets.
Legal and Compliance:
- Manage the administration and upkeep of company policies, assisting superiors in the deployment of policies and procedures across the company. This includes implementing governance and compliance activities, and establishing disciplinary measures for any future breaches, where necessary.
- Support the development of comprehensive training materials and deliver in-person compliance training sessions for employees.
- Organize and manage meetings for group companies and our company, including Board of Directors and Shareholders' Meetings.
- Draft minutes for meetings attended and ensure proper filing and record-keeping of these minutes.
- Assist in collaborating with group companies and liaising with external legal counsel.
- Support the review of contracts and other legal documents under the guidance of senior staff.
- Ensure proper tracking and filing of documents post-signature.
Requirements:
- Diploma or Bachelor’s degree in Business, Corporate Governance, or a related field.
- 3-5 years of experience in corporate support, legal, and compliance. Candidates with limited relevant experience are also encouraged to apply.
- Familiarity with the Companies Act and other regulations applicable in Singapore.
- Practical experience in implementing organizational policies and compliance frameworks.
- Strong interpersonal abilities.
- Excellent organizational and follow-up skills, with the ability to set priorities and meet deadlines.
- Open-minded, hands-on individual who adapts easily to a fast-paced environment, with the ability to work both independently and collaboratively.
- A proactive learner with the ability to multitask, remain detail-oriented, and stay focused.
