INTRO :
We are currently seeking a highly motivated and detail-oriented Corporate Secretary Executive (Junior) to join our team. The successful candidate will be responsible for managing a portfolio of clients, including Singapore-incorporated entities, registered branches of foreign companies in Singapore, and offshore entities (e.g., Cayman Islands and BVI). Key responsibilities will include ensuring compliance with relevant legislation and regulations, as well as providing procedural advisory services.
Given that a significant portion of our client base is Chinese-educated, proficiency in reading and typing in Chinese will be highly advantageous. This is an excellent opportunity for individuals looking to grow their career in corporate governance and compliance.
Key Responsibilities:
Corporate Secretarial Duties:
- Manage and maintain statutory records, including the registers of members, directors, and secretaries.
- Prepare and file statutory documents with relevant authorities (e.g., ACRA).
- Handle the incorporation of new companies, CLBG and other entity types.
- Ensure compliance with the Companies Act and other relevant regulations.
- Coordinate and attend board and shareholders’ meetings, and prepare agendas, minutes, and resolutions.
- Assist in Know Your Client (KYC) processes, including conducting due diligence and maintaining compliance with Anti-Money Laundering (AML) regulation
Regulatory Compliance:
- Monitor and ensure the timely submission of annual returns, financial statements, and other statutory filings.
- Liaise with regulatory bodies such as ACRA, IRAS, and other government agencies.
- Keep abreast of changes in statutory requirements and advise clients accordingly.
ADMINISTRATIVE SUPPORT:
- Maintain and update company records and databases.
- Handle routine correspondence and administrative duties related to corporate secretarial functions.
- Support senior management in various ad-hoc projects and assignments.
- Perform any other ad-hoc tasks as assigned by management
Qualification, Competencies/ Other Requirements:
- Diploma/Advanced Diploma/Degree in relevant field, Business Administration, Business Management or Law
- Holding or currently pursuing corporate secretarial qualification/compliance background would be an advantage
- Prior relevant corporate secretarial experience will be an advantage
- Strong team player with positive working attitude, able to work independently and multi-task
- Proficiency in MS Office
- Proficient and fluent in Mandarin as it is required to communicate with Chinese speaking clients.
- Able to start work immediately or within a short notice period.
